SolGold is pleased to announce the results of the Court Meeting and the General Meeting held today in connection with the Acquisition to be effected by way of the Scheme. At the Court Meeting, as more particularly described below, the requisite majority of Scheme Shareholders, who together represented more than 75% of the voting rights of all Scheme Shares, voted in favour of the resolution to approve the Scheme. At the General Meeting, as more particularly described below, the requisite majority of SolGold Shareholders voted to pass the Special Resolution. Full details of the resolutions that were proposed are set out in the notices of the Court Meeting and General Meeting contained in the scheme document published on 21 January 2026 in connection with the Acquisition (the "Scheme Document"). Effective Date and Timetable The outcome of today's Court Meeting and General Meeting means Conditions 2(a) and 2(b) (as set out in Section 1 of Part 3 of the Scheme Document) have been satisfied. Completion of the Acquisition remains subject to the satisfaction (or, where applicable, waiver) of the remaining Conditions set out in the Scheme Document, including the sanction of the Scheme by the Court at the Scheme Sanction Hearing. The expected timetable of principal events for the implementation of the Scheme remains as set out in the Scheme Document and is also set out in the Appendix to this announcement.
