# LS Power Seeks Up to $2.1 Billion in NRG Share Sale

LS Power is seeking to raise as much as $2.1 billion through the sale of a stake in NRG Energy , according to people familiar with the matter, a move that comes after the broader equity market appeared to shrug off potential fallout from the conflict in Iran. The offering consists of 12.3 million shares priced between $163.50 and $168 each, representing a discount of up to 6.9% to NRG's Monday closing price of $175.58. The shares are being sold following the closing at the end of January of NRG's acquisition of certain LS Power entities, with the block said to have been confidentially marketed ahead of launch.

The stake sale arrives only months after NRG agreed in May to acquire a fleet of natural gas-fired power plants from LS Power in a deal valued at about $12 billion including debt. That transaction reflected management's view that natural gas could be essential in meeting rising electricity demand from data centers. The strategy positions NRG to expand its generation footprint at a time when power demand growth has become a central theme for investors tracking infrastructure tied to AI and digital workloads.

Barclays Plc and Citigroup Inc. are working on the offering, according to a statement, though details of the transaction could still change. Representatives for LS Power and NRG did not immediately respond to requests for comment. In after-hours trading Monday in New York, NRG shares fell 3.8% to $169, suggesting the discounted block could weigh on near-term sentiment even as investors assess the longer-term implications of the company's gas-focused expansion.
