# PROLTO: The issuance of shares and cash payment for asset acquisition is progressing in an orderly manner

PROLTO announced that the company plans to acquire 100% of Leqee Group Limited held by CMC Lollipop Holdings Limited and 8.26% equity of Le Mai Information Technology Co., Ltd. held by Liu Kai and Jiang Lili through the issuance of shares and cash payment, and to issue shares to related parties to raise matching funds, which constitutes a related party transaction and is expected to constitute a major asset restructuring. The company's stock will be suspended from trading starting December 4, 2025, and will resume trading on December 18. As of the announcement date, due diligence, auditing, and evaluation work have not been completed, and the transaction is still subject to approval or registration by the board of directors, shareholders' meeting, and regulatory agencies, which presents uncertainties
