# CICC: The audit work for the absorption and merger of Dongxing Securities Co., Ltd. and Cinda Securities has not yet been completed

CICC (03980.HK) stated that it is planning to merge with Dongxing Securities and Cinda Securities through a share exchange, issuing A shares to all A-share shareholders of Dongxing Securities and Cinda Securities. This transaction is expected to constitute a major asset restructuring as defined by the "Administrative Measures for Major Asset Restructuring of Listed Companies," but it does not constitute a restructuring listing.

The company announced the approval of relevant proposals last December, and the related auditing and other work has not yet been completed. The company will convene the board of directors again to review the relevant proposals for this transaction after the related work is completed and will fulfill subsequent procedures and information disclosure obligations in accordance with relevant laws and regulations
