# STARCOIN GROUP: Marvel Nice plans to acquire convertible bonds worth 715 million yuan

STARCOIN GROUP (00399.HK) announced that Marvel Nice intends to acquire the company’s convertible bonds with a total principal amount of HKD 715 million issued on July 12, 2023, under the third revised and restated document. Upon the completion of the potential acquisition, Marvel Nice will become the bondholder.

According to the terms of the memorandum of understanding, Marvel Nice will subscribe for and the company will allot and issue a certain number of shares, with the subscription price initially set at no less than HKD 1, but subject to certain conditions and formal agreement signing before it can take effect. The subscription price will be paid by Marvel Nice by offsetting the total outstanding principal amount and interest of the bonds.

The group believes that the potential subscription provides an opportunity to significantly reduce liabilities and enhance financial conditions. In addition, the company will introduce a new strategic shareholder, which may introduce new business development opportunities for the group in the future
