An update from XChange TECINC ( (XHG) ) is now available.

On April 15, 2026, XChange TEC.INC entered a Securities Purchase Agreement with VG Master Fund SPC, giving the company the option, but not the obligation, to sell up to $100 million of its Class A ordinary shares in the form of American Depositary Shares. The arrangement, registered under an effective Form F-3 shelf and detailed in a prospectus supplement filed on April 16, 2026, allows the company to control timing and size of drawdowns through purchase notices, subject to conditions including a $30,000 minimum per transaction, a $0.10 floor price unless waived, and a 9.99% ownership cap for VG.

Sales can begin only once all non-VG-controlled conditions are met on the Effective Date, and the program runs until the earlier of April 1, 2028 or full use of the $100 million capacity, giving XChange TEC.INC a multi-year, on-demand equity financing line. Management expects any net proceeds to support working capital and general corporate purposes, potentially strengthening liquidity while diluting existing shareholders over time depending on usage, with customary contractual protections and limitations in place for both parties.
