Alpha Professional Holdings Ltd. ( (HK:0948) ) has issued an update.

Alpha Professional Holdings has initiated a creditors’ voluntary liquidation of its indirect wholly owned subsidiary Willis Trading Limited, a formerly active trader of milk powder and baby foods that is now insolvent and inactive. Willis Trading and its group reported no revenue, a loss of about HK$45.1 million for the year to March 31, 2025, and net liabilities of roughly HK$103.2 million as of September 30, 2025, prompting its deconsolidation from the group’s accounts.

The board considers the winding-up to be in the best interests of shareholders, as it will help reduce losses and allow the group to reallocate resources toward developing adult-formula milk products and expanding its logistics and cleaning services. Management also expects no material adverse impact on the group’s remaining operations, despite Willis Trading being treated as a major subsidiary for disclosure purposes due to the size of its assets relative to the group.
