CMIC Ocean En-Tech Holding Co ( (HK:0206) ) has issued an announcement.

CM Energy Tech Co., Ltd., through its wholly owned subsidiary TSC Offshore, is expanding its participation in offshore and marine engineering by partnering with other investors to form a joint venture focused on shipyard EPC projects with CMHI (Jiangsu), a subsidiary of its controlling shareholder CM Shipbuilding Industry. This move underlines the company’s strategy to deepen integration within its shareholder’s shipbuilding value chain and leverage internal synergies in large-scale maritime projects.

The company has agreed, via a funding investment agreement signed on 12 May 2026, to make a proportionate equity contribution of about USD15.9 million to the joint venture, which will undertake a specific shipyard EPC project with CMHI (Jiangsu). Because the counterparty is a connected person, the transaction is classified as a discloseable and connected transaction under the Hong Kong Listing Rules, triggering reporting, announcement, circular and independent shareholders’ approval requirements, with an independent board committee and financial adviser appointed to safeguard minority investor interests.
