China National Building Material Co ( (HK:3323) ) just unveiled an announcement.

China National Building Material said it has again extended the timeline for fulfilling a non-competition undertaking given to its subsidiary Sinoma Science & Technology and associate China Jushi, originally set out in 2017 and repeatedly prolonged since 2020. The group cited the termination of an earlier restructuring, regulatory requirements for maintaining the independence of the two listed companies, and the need to protect public shareholders, noting that previous approaches such as entrusted management, equity swaps and business adjustments are difficult to implement.

The company now proposes to resolve remaining industry competition in glass fiber and related businesses primarily through asset restructuring, and has notified the two companies that it seeks a further five-year period to perform its commitment, starting from each firm’s shareholder approval of the extension. Apart from this new timetable, the terms of the original 2017 non-competition letters remain unchanged, signaling a long-term but slower path to reorganizing overlapping operations while keeping market and regulatory constraints in view.
