# Mergers and acquisitions restructuring approved by the Shenzhen Stock Exchange, OFILM deepens integration to enhance core competitiveness

Recently, OFILM plans to acquire 28.2461% equity of OFILM Microelectronics (Nanchang) Co., Ltd. (hereinafter referred to as OFILM Microelectronics) held by Nanchang Chanmeng Investment Management Co., Ltd. through the issuance of shares, which has been approved by the M&A Review Committee of the Shenzhen Stock Exchange.

OFILM Microelectronics has long focused on fingerprint recognition modules, 3D perception, and related businesses, and is an important part of the OFILM industrial system. Its new ultrasonic fingerprint modules, vehicle optical sensing modules, and machine vision optical sensing module R&D and industrialization projects have strong technical barriers, ample customer reserves, and are highly aligned with market growth trends, which is of great significance for enhancing OFILM's core competitiveness.

In the field of machine vision, the company has been deeply engaged for many years and is a domestic provider of deep camera system solutions for machine vision. It has launched various mature perception solutions, including monocular, binocular, and iToF, and has made significant investments in the LiDAR field. In February of this year, OFILM officially reached a strategic cooperation with Fushi Technology, and both parties will conduct in-depth cooperation in the field of all-solid-state LiDAR.

According to the plan, OFILM will develop multiple all-solid-state LiDAR products based on Fushi Technology's latest array SPAD-SoC chip, providing comprehensive empowerment for industries such as robotics, unmanned vehicles, and smart lawn mowers. The two parties will initially focus on the robotics field, aiming to enhance key capabilities such as environmental perception, precise positioning, and navigation obstacle avoidance, while seeking breakthroughs in the stability, miniaturization design, and cost control of LiDAR.

Combining Fushi Technology's latest array SPAD-SoC chip, OFILM has launched the industry's first true two-dimensional addressing short-range solid-state LiDAR, solving issues such as high reflection expansion and suppressing multipath and dust interference, empowering confident actions in a complex world. This product features a highly integrated pure solid-state architecture, chip-level design and manufacturing, coverage of different angles and application distances, centimeter-level fine perception, and strong scene adaptability, with low power consumption, providing a reliable spatial perception foundation for advanced autonomous driving and autonomous mobile systems.

From expanding vehicle perception boundaries to empowering autonomous movement of robots, and ensuring precise operation of smart devices, OFILM's true two-dimensional addressing solid-state LiDAR meets the stringent requirements of all-weather and all-condition scenarios, achieving stable large-scene coverage and enabling comprehensive intelligent implementation. In the future, both parties will further collaborate to develop a new all-solid-state LiDAR sensor that integrates visual capabilities, jointly building a next-generation intelligent perception platform for robotics.

It is not difficult to foresee that after the completion of this transaction, OFILM will integrate the resources and technologies of OFILM Microelectronics, shorten the full-link decision-making process, strengthen control over core tracks, enhance the resource integration efficiency of the listed company, improve business synergy capabilities, and further optimize internal management and decision-making efficiency, which will have long-term strategic value for overall revenue and net profit growth
