# YHDZ and related personnel received a warning letter from the Jiangsu Securities Regulatory Bureau

According to the announcement from Galaxy Electronics (002519.SZ), the company recently received a decision from the Jiangsu Regulatory Bureau of the China Securities Regulatory Commission (hereinafter referred to as "Jiangsu Securities Regulatory Bureau") regarding the issuance of a warning letter to Jiangsu Galaxy Electronics Co., Ltd. and Zhang Hong. The relevant situation is as follows:

On March 31, 2026, Jiangsu Galaxy Electronics Co., Ltd. (hereinafter referred to as Galaxy Electronics or the company) disclosed the "Progress Announcement on Major Matters of Subsidiaries," which indicated that the company's wholly-owned subsidiary Hefei Tongzhi Electromechanical Control Technology Co., Ltd. (hereinafter referred to as Tongzhi Electromechanical) and its former legal representative Zhang Hong committed the crime of unit bribery. The above matters reflect deficiencies in the company's operational compliance and internal control. At the same time, the internal control self-assessment report for the relevant fiscal years did not point out the aforementioned internal control deficiencies, and the related information disclosure was inaccurate.

The aforementioned actions of Galaxy Electronics violated Article 2, Paragraph 1 of the "Administrative Measures for Information Disclosure of Listed Companies" (CSRC Order No. 40), Article 3, Paragraph 1 of the "Administrative Measures for Information Disclosure of Listed Companies" (CSRC Order No. 182), and Article 19 of the "Basic Norms for Enterprise Internal Control" (Cai Kuai \[2008\] No. 7). Zhang Hong is the main responsible person for the aforementioned violations. According to Article 59 of the "Administrative Measures for Information Disclosure of Listed Companies" (CSRC Order No. 40) and Article 52 of the "Administrative Measures for Information Disclosure of Listed Companies" (CSRC Order No. 182), the Jiangsu Securities Regulatory Bureau decided to take administrative regulatory measures by issuing a warning letter to Galaxy Electronics and Zhang Hong, and to record it in the integrity file of the securities and futures market
