# DL HOLDINGS GP: C CAPITAL AI LIMITED's investment in ARTi HOLDING LIMITED

According to the announcement from DL HOLDINGS GP (01709), on June 4, 2026, C Capital AI Limited (the investor) and ARTi Holding Limited (ARTi) entered into a subscription agreement to subscribe for new Class B shares of ARTi (the subscription agreement). Under the subscription agreement, the investor agrees to subscribe for 500 new Class B shares of ARTi in its Pre-A round financing, with a total subscription price of USD 1.5 million, implying a pre-investment valuation of USD 30 million, and the subscription price per Class B share is USD 3,000 (the "subscription matter").

Before the completion of the subscription matter, ARTi's Class B shares are held by the company with a 50% interest, DA Asset Management Limited (wholly owned by the company's executive director and controlling shareholder Mr. Chen Ningdi) holds a 40% interest, and DL AI Limited (as a trustee holding shares to manage ARTi's existing share incentive plan, and a company wholly owned by a director of ARTi) holds a 10% interest, while DA Asset Management Limited holds all Class A management shares of ARTi. Following the completion of the subscription matter, the investor will hold 500 Class B shares, accounting for approximately 4.76% of ARTi's enlarged issued Class B share capital, while the company's interest in ARTi will be diluted from 50.00% to approximately 47.62%
