The gross proceeds to the Company from this Offering are expected to be approximately $2.0 million. The Offering is expected to close on or about June 15, 2026, subject to customary closing conditions. D. Boral Capital LLC is acting as the sole placement agent for the offering. The Company intends to use the net proceeds from this Offering for general corporate and working capital purposes.
