Charles Zhu has given his Buy rating due to a combination of factors tied to Zymeworks’ acquisition of TBPH, which brings in a profitable respiratory asset, Yupelri, and an immediately accretive cash-flow stream. The deal structure allows Zymeworks to secure a 35% profit share on a growing COPD franchise, while also preserving upside from underpenetrated hospital channels and additional milestone payments tied to U.S. and EU performance.

At the same time, the transaction is financed in a way that limits cash outlay and avoids shareholder dilution, relying on a non-recourse note backed by future Yupelri profits and leveraging TBPH’s own cash and expected Trelegy milestone. Once the note is repaid, all associated profits revert fully to Zymeworks, meaning long-term free cash flow could expand significantly while near-term balance sheet risk remains contained, supporting an unchanged $34 price target and a favorable risk–reward profile.
