# TXNM Energy PIPE Void Halts Blackstone-Backed Merger

An update from TXNM Energy ( (TXNM) ) is now available.

On May 18, 2025, TXNM Energy agreed to merge with Troy Merger Sub Inc., an affiliate of Blackstone Infrastructure Partners, and to become a wholly owned subsidiary of Troy ParentCo, LLC, alongside a $400 million PIPE investment via 8 million newly issued shares at $50.00 each that closed in June 2025 to finance operations ahead of the merger. The Merger Parties sought New Mexico Public Regulation Commission approval on August 25, 2025, but after a February 6, 2026 motion alleging the PIPE violated the New Mexico Public Utility Act, the NMPRC’s July 2, 2026 final order voided the PIPE, imposed $300,000 in penalties, required a detailed unwinding and ratepayer-protection plan within 45 days, and stayed the merger proceeding pending compliance review.
