# Regina Miracle Sets AGM to Approve Dividend, Director Re-elections and Share Issuance Mandate

Regina Miracle International (Holdings) Limited ( (HK:2199) ) has issued an update.

Regina Miracle International (Holdings) Limited has convened its annual general meeting for 3 September 2026 in Hong Kong to review the audited consolidated financial statements for the year ended 31 March 2026 and to seek shareholder approval for a final dividend of HK5.3 cents per share. The meeting will also consider the re-election of key executive and independent non-executive directors, re-appointment of PricewaterhouseCoopers as auditor, and authorization of the board to set directors’ and auditor’s remuneration.

Shareholders will be asked to approve a general mandate allowing the board to allot, issue and deal with additional shares and related convertible securities, subject to a cap of up to 10 per cent of the existing share capital, with a possible additional 10 per cent linked to share repurchases. This share issuance authority, alongside routine governance resolutions, is aimed at providing financial flexibility for future capital raising while maintaining checks on dilution, underscoring the company’s efforts to balance growth needs with shareholder interests.
