# Horizon Robotics Plans USD450 Million Zero-Coupon Convertible Bond for Loan Restructuring

Horizon Robotics Class B ( (HK:9660) ) has provided an announcement.

Horizon Robotics announced plans to issue USD-denominated zero-coupon convertible bonds due around July 27, 2027, which will be convertible into its Class B ordinary shares. The proposed offering totals USD450 million and is structured under the company’s general mandate, with pricing higher than the current share price and the prior conversion terms under an existing convertible loan agreement.

Most of the proceeds, about USD398.9 million, are earmarked for cash payments to CARIAD related to an amended loan arrangement, covering repayment of an excess portion and an additional cash payment, with the balance supporting working capital and other corporate purposes. Management describes the bond and loan amendment as a loan restructuring that reduces potential dilution versus the initial convertible loan, and the board views the transaction as beneficial to shareholders, while warning that the issuance may not proceed and advising investors to exercise caution when trading the company’s securities.

The company also clarifies that the proposed bond issue is not conditional on the loan amendment, noting that if the bond sale does not close, the amended obligations will be funded from internal resources. This stance underscores Horizon Robotics’ commitment to completing the CARIAD-related transactions and maintaining financial flexibility regardless of market appetite for the new convertible securities.
