Nano-X Imaging faces a class action securities lawsuit alleging misleading statements regarding chip fabrication efficiency and customer demand between March 2025 and April 2026. Plaintiffs claim the stock was artificially inflated until disclosures of a $33.4 million net loss, an impairment charge at its Korean facility, and a CFO departure caused a 24% stock drop.

The federal securities lawsuit alleges that plaintiffs acquired Nano-X stock at, artificially inflated prices between March 31, 2025, and April 17, 2026, known as the Class Period. Plaintiffs are now seeking compensation for financial losses incurred upon public revelation of the company's alleged misconduct during that time. What Does Nano-X Do?

Nano-X develops a commercial-grade tomographic imaging device with a digital X-ray source, known as the Nanox.ARC, and also provides teleradiology services and develops artificial intelligence applications for medical imaging. The company produces components for its X-ray products at self-owned facilities, including a micro-electro-mechanical systems (MEMs) chip manufacturing facility in South Korea, as well as through third-party manufacturers.

Why are Shareholdings Suing Nano-X?

The complaint alleges that throughout the class period, defendants made materially false and misleading statements about Nano-X's efficiency gains, a growing customer pipeline, demand for its products, and the value of its manufacturing infrastructure, including its self-owned Korean chip fabrication facility. They did this, it is alleged, while concealing that the company's production operations were poorly aligned with actual demand and generating unsustainable operating expenses and cash burn.

The truth began to emerge on April 20, 2026, when Nano-X reported a fourth quarter net loss of $33.4 million, driven largely by a $17.5 million impairment charge tied to a restructuring initiative at its Korean chip manufacturing facility, and simultaneously announced the departure of its Chief Financial Officer. Following these disclosures, Nano-X's stock price fell $0.695 per share, or 24.39%, to close at $2.155 per share.

In the last three months the company's share price has dropped by 42% – see below:
