The tender offers, in the U.S. and Brazil, represent about 10% of Santander Brazil's share capital, Banco Santander said. The offers will have a maximum total consideration of about 1.91 billion euros (about $2.2 billion). Banco Santander offered to issue .4056 shares for each unit or American Depositary Share of Santander Brazil, and .2028 shares for each common or preferred share of Santander Brazil. Shares will be delivered as ADSs or Brazilian Depositary Receipts as applicable. The offer represents a 15% premium to the reference share price of a Santander Brazil unit as of Thursday, Banco Santander said. It will issue a maximum of about 156 million new shares if all outstanding Santander Brazil shares are tendered. The offer is voluntary and does not seek to delist Santander Brazil, Banco Santander said. But depending on the results of the offer, Santander Brazil's ADSs may be delisted from the New York Stock Exchange. Banco Santander Executive Chair Ana Botin said the offer will be accretive to earnings per share while remaining capital neutral. "Brazil is one of Santander's core markets, with strong long-term fundamentals, a large and growing customer base and significant opportunities for profitable growth," she said. "This transaction is a further step in our strategy of simplifying the group, while reinforcing our long-term commitment to Brazil."
