Sphere Entertainment Co. faces material financing risk due to complex credit facilities and convertible notes that impose stringent covenants and mandatory cash sweeps on affiliated entities. While certain subsidiaries are not direct obligors, defaults or covenant breaches at MSG Networks or MSG LV could indirectly constrain liquidity, capital allocation flexibility and strategic options for the broader group.

The high-cost MSGN Term Loan Facility and 2026 LV Sphere Facilities expose the company to interest rate, refinancing and leverage risks through 2029–2031, including potential accelerated prepayments tied to excess cash and asset dispositions. In addition, the 3.50% Convertible Senior Notes due 2028 introduce dilution and refinancing uncertainty, which may pressure future earnings per share and the company’s overall funding profile.
