# SPAC GX Acquisition III files for a $200 million IPO, targeting advanced computing

GX Acquisition III, a blank check company backed by Trimaran Capital targeting advanced computing, filed on Monday with the SEC to raise up to $200 million in an initial public offering.

The company plans to raise $200 million by offering 20 million units at $10. Each unit consists of one share of common stock and one-third of a warrant, exercisable at $11.50. 

GX Acquisition III is led by **CEO and Chairman Dean Kehler**, co-founder and Managing Partner of private equity firm Trimaran Capital Partners. The SPAC plans to target the advanced computing ecosystem, which includes AI, machine learning, high-performance computing, and quantum computing and related technologies.

Management's previous SPACs include GX Acquisition II, which completed its combination with rare earths developer **NioCorp** (Nasdaq: NB; -58% from $10 offer price) in March 2023; and GX Acquisition, which completed its combination with cell therapy biotech **Celularity** (Nasdaq: CELU; -89%) in July 2021.

The Miami Beach, FL-based company was founded in 2026. It plans to list on the Nasdaq under the symbol GXTRU. Cohen & Company Securities is the sole bookrunner on the deal.
