# HSBC Launches $5 Billion Tender Offers for 2028 Senior Notes

HSBC Holdings ( (GB:HSBA) ) has shared an announcement.

HSBC Holdings plc has launched cash tender offers for four series of U.S. dollar-denominated senior unsecured notes maturing in 2028, with a maximum aggregate purchase price of up to $5bn against $8.6bn outstanding. The notes, all fixed-to-floating rate instruments, are prioritised by acceptance levels and are subject to sub-caps on the May and March 2028 tranches, as well as standard proration mechanisms.

The move signals an active liability management strategy, allowing HSBC to retire or refinance higher-cost or less strategically aligned debt while adjusting its funding profile ahead of upcoming par redemption dates in 2027. For bondholders, the tender offers provide an early exit at defined spreads over U.S. Treasuries, while for the bank the transaction can simplify its capital structure and potentially lower future interest expense, reinforcing its balance-sheet flexibility in global markets.
