# Vertical Aerospace Raises $56 Million via Equity and Convertible Preferred Offerings

Vertical Aerospace ( (EVTL) ) has issued an announcement.

On August 10, 2026, Vertical Aerospace priced an underwritten registered direct equity offering of around $35 million in units, each comprising one ordinary share and one Tranche C warrant, at $1.05 per unit with Jefferies LLC as underwriter. The offering, expected to close on or about August 11, 2026, is projected to yield net proceeds of approximately $32.55 million to support research and development, and the expansion of testing, manufacturing and certification infrastructure, as well as general corporate purposes.

On the same date, under a previously announced April 20, 2026 securities purchase agreement with Yorkville, the company issued 25,000 Series A Convertible Preferred Shares in a second tranche for $24 million, with a fixed conversion price component of $1.26 per share. Vertical intends to deploy these preferred proceeds alongside the equity capital to fund continued aircraft development and operational expansion, underscoring its ongoing need for external financing amid the capital-intensive and early-stage nature of the eVTOL industry and the associated risks for investors.

The most recent analyst rating on (EVTL) stock is a Buy

**Spark’s Take on EVTL Stock**

According to Spark, TipRanks’ AI Analyst, EVTL is a Underperform.

EVTL scores low primarily due to very weak financial performance (near-zero revenue, ongoing operating losses, negative equity, rising leverage, and continued cash burn). Technicals are also negative with the price below key moving averages and bearish MACD, though oversold readings modestly temper the downside. Valuation offers little support given the negative P/E and no dividend yield.

**More about Vertical Aerospace**

Vertical Aerospace Ltd. is a U.K.-based aerospace company developing electric vertical take-off and landing (eVTOL) aircraft for urban air mobility, with a focus on research, testing, manufacturing and certification capabilities to bring non-prototype aircraft to market. The company operates as a foreign private issuer listed in the United States and relies on capital markets to fund its development-intensive business model.

Vertical’s positioning in the emerging eVTOL sector involves significant research and development spending, extended certification timelines and dependence on partners and suppliers, leaving it exposed to funding, execution and regulatory risks highlighted in its SEC filings. The firm is pursuing multiple financing channels, including common equity, warrants and convertible preferred shares, to sustain operations while the commercial market for eVTOL aircraft remains at an early stage.
