American Express ( (AXP) ) just unveiled an announcement.

On August 11, 2026, American Express filed a Certificate of Amendment in New York to establish the terms of a new Series E 6.450% fixed rate reset noncumulative preferred share class, with each share carrying a $1,000,000 liquidation preference and being fractionalized into 1,000 depositary shares. On August 12, 2026, the company issued 1,600 Series E Preferred Shares and closed the sale of 1,600,000 related depositary shares, setting dividend priority conditions that can restrict payouts on common and parity preferred stock if full dividends on the new series are not declared and paid.

American Express also outlined plans that would result in a full redemption of its outstanding Series D preferred and associated depositary shares on September 15, 2026, at $1,000,000 per preferred share, or $1,000 per depositary share, plus any declared and unpaid dividends. The combined actions mark a refinancing and capital structure shift within the company’s preferred stock program, with implications for income-focused investors holding the Series D instruments and for the firm’s overall cost of capital management.

The most recent analyst rating on (AXP) stock is a Buy
 with a $405.00 price target.
