Vestand Inc. entered into a Stock Transfer Agreement on July 30, 2026, to sell its 200 shares of common stock in Vestand Korea Co., Ltd. to individual investor Sang-Woo Noh at a price of KRW 5,000 per share, for total proceeds of KRW 1,000,000. As part of the transaction structure, the company retained a call option allowing it to repurchase all 200 Vestand Korea shares from Mr. Noh for KRW 1,100,000 at any time until July 28, 2027, preserving potential future strategic flexibility regarding its stake in the Korean affiliate.
