APPLICATION FOR ADMISSION TO TRADING AND TOTAL VOTING RIGHTS
Further to the announcement by Banco Santander, S.A. ("Banco Santander") on 20 August 2026 concerning the completion of its acquisition of Webster Financial Corporation and pursuant to the capital increase approved by Banco Santander's shareholders on 27 March 2026, Banco Santander on 20 August 2026 issued 329,846,438 new ordinary shares of EUR 0.50 each in the capital of Banco Santander (the "New Shares").
Banco Santander has made an application to the London Stock Exchange plc ("LSE") for the New Shares to be admitted to trading on the LSE's Main Market for listed securities in the Equity Shares (International Commercial Companies Secondary Listing) category.
It is expected that admission to trading will become effective at or before 8.00 a.m. (London time) on 26 August 2026.
