# Re/Max Holdings Prepares NYSE Delisting After Merger

The latest announcement is out from Re/Max Holdings ( (RMAX) ).

On the closing date of its business combination in April 2026, Re/Max Holdings completed a two-step merger under which each share of its Class A common stock was converted into a mix of cash and Real REMAX Group common stock, subject to proration after an oversubscribed cash election. Former Re/Max shareholders received roughly $80 million in aggregate cash and about 14.5 million shares of Real REMAX Group, while employee equity awards including RSUs, PSUs and options were largely rolled into new Real REMAX Group instruments on substantially similar terms.

As part of the transaction, the sole outstanding Class B share was canceled, and all Re/Max common stockholders lost their rights as company stockholders other than to receive the agreed merger consideration. The company notified the NYSE that its common stock would be delisted, with trading expected to be suspended prior to the market open on August 25, 2026, and it plans to deregister the shares and terminate Exchange Act reporting, while its board and key officers resigned at the merger effective time and the surviving entity adopted the charter and bylaws of the merger subsidiaries.
