# Court Rejects Merck’s Challenge to Medicare Drug Price Negotiation Program

A federal court fully denied a summary judgment motion from **Merck & Co., Inc.** (NYSE:MRK) and granted the federal government’s cross-motion for summary judgment, upholding the Inflation Reduction Act’s Drug Price Negotiation Program.

Merck challenged the federal drug pricing framework on constitutional grounds, alleging uncompensated property takings under the Fifth Amendment, compelled speech under the First Amendment, and unconstitutional conditions on program participation.

## Medicare Part D Pricing Exceptions

Congress originally established Medicare Part D in 2003 as a voluntary prescription drug benefit program that the Centers for Medicare and Medicaid Services administers through public-private partnerships.

Initial legislation barred federal officials from setting price structures or interfering in private price negotiations.

However, the Inflation Reduction Act created a statutory exception directing federal administrators to negotiate maximum fair prices for designated high-expenditure drugs that lack generic competitors and have maintained regulatory approval for at least seven years.

## Negotiation Rules And Price Caps

Under the program guidelines, federal administrators seek the lowest maximum fair price for each chosen drug, capping negotiations at 75% of private market value.

Participating drugmakers must execute official agreements and addendums, guaranteeing Medicare beneficiaries access to agreed prices until generic alternatives enter the commercial market.

## Escalating Excise Tax Penalties

Pharmaceutical companies that decline participation or fail to reach pricing agreements incur severe daily excise taxes on all product sales, including non-Medicare transactions.

Penalties start at 185.71% of the drug’s sales price on day one of noncompliance and escalate up to 1,900% after 270 days.

Noncompliant manufacturers can avoid these escalating penalties only by divesting the drug or completely withdrawing all company products from Medicare Part D and Medicaid rebate programs.

**MRK Stock Price Activity**: Merck shares were down 0.20% at $150.36 during premarket trading on Tuesday, according to Benzinga Pro data.
