## **Debt Agreement Scraps $5.94 Million Tranche and All Warrants**

The rally follows a late Tuesday announcement that YY Group executed a Supplemental Agreement with the holder of its convertible promissory note, effective Aug. 20.

Under the terms of the agreement, the company officially canceled the $5.94 million second tranche of its convertible note offering originally structured in February.

Crucially, the agreement also immediately canceled all 11,284 outstanding warrants to purchase Class A ordinary shares for no additional consideration, removing significant dilution risks for existing equity holders.

## **Remaining $1.37 Million Balance Set for Full Repayment by Year-End**

Management confirmed that the majority of the initial $5.94 million tranche has already been paid down, leaving an outstanding balance of approximately $1.37 million. Under the amended terms, YY Group will settle this remaining obligation no later than Dec. 31, with no further interest accruing on the balance.

Upon final payment, the company says all obligations under the convertible note will officially terminate, leaving the Singapore-based AI workforce management provider with zero convertible debt or warrants outstanding.
