# Shenzhen Investment Restructures Connected Deals via Property Transfer and Ends Development Pact

The latest update is out from Shenzhen Investment ( (HK:0604) ).

Shenzhen Investment has arranged for its subsidiary Shenye Wansheng to transfer commercial and office properties to Zhongshan Wanye, settling RMB113.18 million of consideration owed by controlling shareholder Shum Yip Group for a 35.17% equity stake in Shenye Wansheng. The property transfer also offsets an equivalent amount of Shenye Wansheng’s shareholder loan to Shum Yip Group, following a prior RMB30.36 million property-based offset, bringing the aggregated connected transaction to about RMB143.58 million under Hong Kong Listing Rules.

Because these offsetting debt arrangements fall between the 0.1% and 5% percentage ratio thresholds, they are subject to reporting and announcement requirements but exempt from independent shareholders’ approval. In a parallel move, Shenzhen Investment and its partners have terminated a development and construction services agreement with Zhongshan Vanke after Zhongshan Wanye exited its equity holding in Shenye Wansheng, ending those continuing connected transactions and slightly simplifying the company’s connected-party landscape under the Listing Rules.
