The company said its board will evaluate regulatory, financial, operational, and strategic alternatives as it seeks to strengthen its balance sheet, while also deferring about $2 billion of planned 2027 investment. ## Updates From The Block **NVIDIA** (NASDAQ:NVDA)has agreed to acquire Hugging Face for $12.9 billion. The acquisition will scale Hugging Face’s platform, strengthen its infrastructure, and expand access to AI for developers and institutions worldwide. **Flex** (NASDAQ:FLEX) has bought **EPC Power** for $4.4 billion. The transaction is expected to close in the fourth quarter of 2026, when EPC Power is expected to become part of Flex’s Cloud and Power Infrastructure (CPI) segment. Flex plans to spin off CPI as an independent, publicly traded company in the first calendar quarter of 2027. **Eli Lilly and Company** (NYSE:LLY) has agreed to acquire **Merida Biosciences, Inc.,** a biotechnology company advancing a new class of precision therapeutics for serious autoimmune and allergic diseases, for $2.8 billion in cash. The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approval. Private equity firm **KKR & Co.** (NYSE:KKR) has agreed to acquire **A1 Garage Door Service,** a residential garage door repair and replacement company, in a deal valued at around $2 billion, Reuters reported. **Barilla Group** has agreed to acquire the boxed mac and cheese brand Goodles. Terms of the deal were not disclosed. Goodles will remain headquartered in Santa Cruz and will continue to operate independently as a standalone brand, free to make its own decisions about product, recipes, quality, ingredients, suppliers, marketing, and more. The acquisition is expected to close during the fourth quarter of 2026, subject to customary closing conditions. Private equity firm **Yellow Wood Partners** bought Nestle’s Holistic Health, a vitamins, minerals, and supplements portfolio, for approximately $1 billion. Privately held optical-photonics company **Starman Optical** agreed to buy **GoPro** (NASDAQ:GPRO) for $285 million. GoPro will remain a publicly listed company and will continue to fully support its existing consumer products and its subscription and cloud platform. The transaction is expected to close by year-end 2026, subject to regulatory approvals. **The Descartes Systems Group** (NASDAQ:DSGX) (TSX) acquired **Extensiv,** a provider of warehouse management and fulfillment solutions, for approximately $120 million. **Align Capital Partners** has sold pet wellness products platform **CompletePet,** a developer, formulator and manufacturer of pet wellness products, to **Blue Sea Capital.** Financial terms of the deal were not disclosed. **Palo Alto Networks** (NASDAQ:PANW), the global cybersecurity leader, has purchased **Console,** an AI-native platform that enables agentic capabilities. The deal’s financial terms were not disclosed. ## Off The Block Private equity firm **LongRange Capital** completed its acquisition of **Pizza Hut**, excluding Mainland China, from **Yum! Brands, Inc.** (NYSE:YUM) for approximately $1.5 billion, plus a potential $75 million earn-out by 2030. **S&P Global** (NYSE:SPGI) completed its divestment of its geoscience and petroleum engineering software portfolio to Schlumberger, a global technology company. The transaction, originally announced in April 2026, establishes a strategic alliance that ensures customers will continue to benefit from S&P Global Energy’s comprehensive data and insights. Financial terms of the transaction were not disclosed, and the divestiture is not expected to have a material impact on the financial results of S&P Global or the Energy division, the company stated. ## Bankruptcy Block **Park Place Partners Development LLC** has sought Chapter 11 protection as the New York real estate developer works through financial difficulties, The Street reported. Court records show the company reported both assets and liabilities of between $10 million and $50 million. **RanchlandMTX LLC** filed for Chapter 11 bankruptcy. The Texas-based single-asset real estate company reported a balance sheet with assets ranging from $10 million to $50 million, while liabilities fell within the same range. **Wagyu 100 LLC,** a cattle ranching and farming business, filed for Chapter 11 bankruptcy. The company reported between $10 million and $50 million in assets, compared with liabilities ranging from $1 million to $10 million. **Asani Restaurant Group LLC,** operator of Florida breakfast chain **Buttermilk Eatery,** filed for Chapter 11 bankruptcy. Court records show the company had less than $50,000 in assets against liabilities of between $500,000 and $1 million. The company’s largest unsecured creditors include Spartan Capital, Toast Capital, and Bear Robotics. **Z Metal Works Inc.** entered Chapter 11 proceedings in Florida.
