# Breakthrough in "Personalized Cancer Vaccines"! "Tumor Sequencing" Takes Center Stage

Moderna and Merck's breakthrough progress in the field of personalized mRNA cancer vaccines is triggering an investment boom in the healthcare sector, pushing diagnostic companies that provide tumor sequencing services to the center of a lucrative market.

After Moderna and Merck announced positive results from their advanced melanoma trials, **the combined market capitalization of these two pharmaceutical giants surged by over $50 billion.** This breakthrough directly ignited the capital market performance of their diagnostic partners, with **Tempus AI's stock price soaring by 24%** in the weeks following the data release.

This chain reaction has triggered rare volatility in the M&A market. As the tumor sequencing partner for Moderna's clinical projects, Personalis's stock price once skyrocketed to $18, breaking through the $16.25 per share acquisition price previously offered by Tempus AI. This premium indicates that investors are betting on higher acquisition offers or a potential bidding war.

As personalized cancer therapies show potential to become blockbuster drugs, diagnostic companies providing genetic profiling for them are poised to occupy a key "toll booth" position in every treatment, making related targets the immediate focus of Wall Street capital.

## **Vaccine Breakthrough Spurs Sequencing Demand**

The core of personalized cancer therapy lies in providing customized genetic profiles for each patient. **Medical institutions must sequence tumors to identify the mutant genes that the vaccine should target.** According to The Wall Street Journal, **Tempus AI has confirmed that it will be selected as the sequencing partner if Moderna and Merck's vaccine receives approval.**

Wall Street is re-evaluating the commercial value of this potential market. Piper Sandler estimates that if the vaccine is approved in the melanoma field, it will generate at least $50 million in annual sequencing revenue. BTIG analyst Mark Massaro further predicts that if this therapy expands to lung cancer, bladder cancer, and kidney cancer, related sequencing revenue could exceed $600 million, a huge market opportunity that is not yet fully reflected in current stock prices.

## **Undercurrents in the M&A Battle**

Amid the industry hype, Tempus AI's acquisition of Personalis is facing market uncertainty. On July 20 this year, Tempus AI agreed to acquire Personalis at $16.25 per share, valuing the transaction at $1.5 billion after deducting Tempus AI's existing shares. However, as Personalis's stock price broke through the acquisition price, expectations of changes to the deal are rising.

The transaction proxy statement released by Tempus AI this week confirmed investors' suspicions. The document revealed that before agreeing to the deal with Tempus AI, Personalis had contacted multiple potential buyers and even received verbal offers of $17 per share. Wall Street analysts speculate that competitors such as Natera or Guardant Health could be potential bidders.

Currently, Tempus AI holds 12% of Personalis's shares, and with Merck agreeing to vote its 13% stake in support of the transaction, approximately one-quarter of the voting rights are locked in. However, other shareholders may still push for higher offers. In response, a Tempus AI spokesperson stated: "As disclosed by Personalis regarding this transaction, other independent parties conducted extensive due diligence and either declined to participate or submitted offers that the Personalis board of directors considered less attractive."

## **Targeting the Billion-Dollar MRD Testing Market**

For Tempus AI founder Eric Lefkofsky, **acquiring Personalis is not just about securing upfront sequencing fees, but also about breaking the company's valuation dilemma.** Currently, Tempus AI trades at a price-to-sales ratio of about 6x, while its faster-growing peers trade at around 13x. Lefkofsky's background as the founder of Groupon also brings some baggage; he cashed out over $300 million during Groupon's IPO, but the company's multi-billion dollar valuation shrank significantly shortly after going public.

Personalis provides Tempus AI with a bridge to higher valuation, with its true strategic goal being Minimal Residual Disease (MRD) testing. This is a blood testing technology used to detect tiny traces of circulating tumor DNA after treatment, potentially detecting cancer recurrence before it appears on imaging scans. Investors view MRD as a massive market worth billions of dollars, currently dominated by the $45 billion giant Natera.

Douglas Eby, CEO of Bioaxia, a life sciences value investment firm holding shares in both Tempus AI and Personalis, explained that if the mRNA business takes off, Tempus AI will gain a strong foothold in the MRD field. The mRNA vaccine business can serve as a customer acquisition funnel: initial sequencing brings patients into Tempus AI's ecosystem, while recurring MRD tests keep them in the system for monitoring over many years.

## **Commercialization Prospects and Potential Risks**

Despite the bright prospects, there are still uncertainties in the field of mRNA cancer treatment. Just weeks after Moderna released its positive news, competitor BioNTech encountered setbacks in an interim trial of a colorectal cancer vaccine, highlighting the clinical risks in this field.

Furthermore, the long-term business model remains to be seen. It is unclear whether pharmaceutical companies will eventually move part of the sequencing work in-house or distribute the workload among multiple competing diagnostic laboratories. For Eric Lefkofsky, Personalis indeed provides him with a ticket into the field of precision cancer treatment, but only if he can first complete this transaction, and the market's pricing performance suggests that this will certainly not be a smooth journey.
