# Sphere 3D announces strategic financing and asset divestitures

Sphere 3D ( (ANY) ) has provided an update.

Sphere 3D Corp., doing business as DarkHorse Technologies, is a digital infrastructure company focused on high-performance computing, AI workloads and digital asset infrastructure. Following its combination with Cathedra Bitcoin and the planned sale of its Iowa site, it owns or operates about 50 MW of power capacity across four data center locations in Tennessee and Kentucky and is pursuing a proposed 50 MW data center in Hopkinsville, Kentucky.

The company targets smaller, distribution-connected sites in the Tennessee Valley Authority region, leveraging utility and government relationships to rapidly deploy next-generation compute infrastructure. Its strategy emphasizes energy optimization, local community partnerships and capital markets access to support long-term value creation while it transitions away from legacy bitcoin mining assets.

Sphere 3D Corp. on September 8, 2026, announced the pricing of a $5.0 million private placement and the initial conclusions of a 90-day strategic review following its June 2026 business combination. The financing, which closed on September 11, 2026, involves 1,666,661 units of common shares and five-year warrants sold at a premium to the recent share price, with a six-month lock-up and significant participation from three directors, including the chairman and chief executive officer.

The company is divesting non-core assets, including its Iowa site for about $2 million in total proceeds and a legacy fleet of about 5,500 mining machines for roughly $3 million, and redirecting capital into AI and high-performance computing infrastructure in the Tennessee Valley Authority region.
