# Seagate CFO Sells $38M in Stock – Should Investors Worry?

Seagate Technology (STX) CFO and EVP Gianluca Romano recently sold nearly $38.1 million worth of company stock, according to a Form 4 filing with the Securities and Exchange Commission (SEC). While the size of the transaction is notable, the transactions were executed under a pre-arranged Rule 10b5-1 trading plan, which provides important context for investors.

Seagate is a data storage company that develops and manufactures hard disk drives (HDDs) and other storage solutions for cloud, enterprise, and consumer applications. Insider share sales can sometimes signal caution about a company's outlook, but they can also be driven by personal financial planning decisions or tax-related considerations.

## **Here's Why Romano Sold Shares**

According to the SEC filing dated September 11, Romano exercised options covering 50,498 Seagate shares at exercise prices ranging from $64.31 to $158.40 per share. He then sold 45,898 of those shares through multiple transactions at weighted-average prices ranging from about $819 to $844 per share. Following the recent sales, Romano directly owned 34,220 Seagate shares.

Importantly, the filing states that all of the option exercises and stock sales were executed pursuant to a pre-arranged trading plan adopted on April 30, 2026. Such plans allow executives to establish predetermined trading instructions before transactions take place.

Meanwhile, the TipRanks Insider Trading Activity Tool shows a Very Negative insider confidence signal for Seagate, with corporate insiders selling $191.60 million worth of shares over the past three months.
