# Paramount Skydance CEO Says WBD Merger Could Close in 'Two Weeks' as Stocks Jump

Shares of Paramount Skydance (PSKY) rose 1.4% in extended trading on Monday, while Warner Bros. Discovery (WBD) surged 10.8% in regular trading after the companies cleared a major legal hurdle for their proposed $110 billion merger.

The rally followed a settlement with 12 U.S. states and the Writers Guild of America (WGA), resolving legal challenges that had threatened to delay the transaction. Paramount CEO David Ellison now expects the merger to close in approximately two weeks, although some formal steps remain.

As part of the settlement, Paramount agreed to invest an additional $1.5 billion in U.S. film production over five years and provide $47.5 million in support for displaced entertainment workers. PSKY will also establish oversight measures to protect editorial independence at its news operations.

## **Ellison Targets Merger Closing in Two Weeks**

In a memo to employees, Ellison said the settlement provides "complete clearance" for the merger, allowing the companies to move toward closing. He acknowledged that some work remains but expressed optimism about bringing the two entertainment businesses together.

While the settlement removes a significant obstacle, the transaction remains subject to final judicial approval and other closing requirements.

## **Paramount Could Avoid Billions in Ticking Fees**

The settlement also reduces the risk of costly delays for Paramount. Under the merger agreement, the company must pay WBD shareholders ticking fees of approximately $7 million per day if the transaction does not close by September 30.

A prolonged delay could cost Paramount up to $1.7 billion in ticking fees. Closing within two weeks could help the company avoid much of this expense and ease financial pressure as it prepares to integrate the two businesses.

## **What the Paramount-WBD Merger Means**

The proposed combination would bring together Paramount and Warner Bros. studios, along with major media assets such as CBS, CNN, HBO Max, and Paramount+. The combined company would have a broader content library and streaming presence as it competes with Netflix (NFLX) and Walt Disney (DIS).

Paramount has argued that the merger would strengthen its competitive position in an increasingly consolidated entertainment industry by expanding its content offerings and distribution capabilities.

However, the deal's completion is only the first step. Investors will be watching integration costs, anticipated synergies, and the combined company's ability to manage its substantial media portfolio.

On TipRanks, PSKY has a Hold consensus rating based on three Buys, five Holds, and four Sell ratings. The average Paramount Skydance price target of $10.14 implies 2.4% upside potential from current levels. Year-to-date, PSKY shares have dropped nearly 25%.
