# MARA Holdings Amends Texas Data Center Project Agreement

An announcement from MARA Holdings ( (MARA) ) is now available.

On July 2, 2026, Volt Texas LLC, a subsidiary of MARA Holdings, closed a transaction to acquire substantially all membership interests in MAT 1177 LLC from HIF USA LLC, making MAT 1177 LLC an indirect subsidiary holding Texas land and rights to 2,000 megawatts of power for a planned data center project. On September 21, 2026, the parties amended the purchase agreement, with Buyer posting a $100 million security deposit with the electric utility and restructuring milestone payments tied to regulatory approvals, audits, and power authorization while keeping the total potential purchase price at $600 million.

The amendment removed provisions that could have forced a return of the Project Company’s interests to the seller if milestones were missed and instead introduced a sale process for the project to a third party, with a right of first offer for the seller and a waterfall for sharing net sale proceeds. These changes give MARA greater flexibility over whether to proceed with or monetize the Texas data center project, while preserving seller’s minority interest linked to a future data center lease and clarifying the distribution of value if the project is sold.
