# NetSol Earnings Call Showcases Record Growth and AI Push

Netsol ((NTWK)) has held its Q4 earnings call. Read on for the main highlights of the call.

NetSol’s latest earnings call painted a decidedly upbeat picture, with management calling fiscal 2026 the strongest year in the company’s history. Despite some caveats around net income, margin guidance, and Pakistan-related structural questions, executives emphasized double-digit growth, stronger cash generation, and expanding wins for the Transcend Finance and Retail platforms.

## Record Year Anchored by Double-Digit Revenue Growth

Fiscal 2026 marked a milestone as NetSol’s most successful year, with total net revenue hitting a record $74.4 million. The company not only delivered 12.5% year-over-year growth but also exceeded its own $73 million revenue guidance, underscoring solid execution across core product lines.

## Profitability Metrics Show Significant Upside

Profitability improved meaningfully, with non-GAAP EBITDA rising 22.8% to $8 million and operating income nearly doubling to $6.9 million. The operating margin expanded from 5.3% to 9.3%, signaling better cost discipline and improved leverage in the software and services model.

## Fourth Quarter Delivers Record Top and Bottom Line

NetSol’s fourth quarter capped the year with record revenue of $20.7 million, up 12.5% from a year earlier. Gross profit climbed 27.3% to $13.2 million, while gross margin jumped to 63.6% and GAAP net income attributable to NetSol rose 45.9% to $3.8 million, or $0.32 per diluted share.

## Execution Momentum Built Throughout the Year

Management highlighted a “material” execution improvement from the first to the fourth quarter, as revenue grew about 38% over that span. Gross margin expanded by more than 2,400 basis points and the quarterly operating result improved by roughly $6.3 million, reflecting a sharp operational turnaround.

## Recurring Revenue Nears Half of the Business

Investors tracking business-model quality will note that subscription and support revenue increased 8.7% to $35.8 million. These recurring streams represented 48.1% of total revenue for fiscal 2026, with management now describing them as roughly half of company-wide revenue.

## Contracted Revenue Metric Adds Visibility

To give markets more clarity, NetSol introduced a contracted revenue metric totaling about $60 million as of June 30, 2026. Defined as expected revenue from signed agreements plus estimated change requests, this figure will be reported quarterly, though management stressed it is not a guaranteed floor.

## Cash Generation and Balance Sheet Strengthened

Operating cash flow surged to $13.9 million from just $0.4 million a year earlier, supporting a 56.3% increase in the cash balance to $27.1 million. After roughly $4.7 million of investments in property, equipment, and capitalized development, the business still generated about $9.8 million of cash.

## BMO Upgrade Validates Transcend Finance Strategy

A landmark win saw BMO agree to upgrade from NetSol’s legacy LeasePak platform to Transcend Finance. As one of North America’s largest banks, BMO was described as the clearest proof point for the legacy-to-Transcend upgrade strategy and is expected to provide a tangible boost to subscription revenue.

## Global Transcend Wins Across Auto and Leasing Markets

NetSol reported one of its largest Transcend Finance contract extensions with a Tier 1 global auto captive and renewed a 10-year multimillion-dollar deal with a major U.K. bank. New go-lives spanned Indonesia, the U.K., China, and Thailand, underscoring the platform’s global reach in auto and equipment finance.

## Transcend Retail Scales in the U.S. Dealer Market

On the retail side, Sonic Automotive is building its branded digital retail experience on NetSol’s platform. The same technology is rolling out across roughly 350 franchise dealerships of a premium global automaker in North America, described as one of the largest digital retail deployments in the U.S. auto market.

## Dealer Group Pipeline Points to Network Effects

Three dealers that went live earlier in the quarter belong to larger groups with more than 15 dealerships each. NetSol expects these initial sites to unlock further deployments, with one customer’s go-live indicating potential additions of 15 to 20 dealerships on average as digital retail scales.

## AI-Enabled Enhancements Target Speed and Accuracy

The company rolled out AI-enabled credit decisioning tools aimed at automating manual tasks, speeding decisions, and improving underwriting accuracy. NetSol also deployed intelligent document processing systems and noted that Transcend’s architecture lets customers plug in their own AI capabilities.

## Efficiency Program Focuses on Scalable Growth

To boost scalability, NetSol is cutting the resource intensity of development and delivery through AI-assisted engineering, automation, and structural efficiencies. Management’s goal is a model where client impact and capacity expand without costs rising in lockstep, supporting margin resilience over time.

## Index Reinstatement and Board Changes Strengthen Profile

In June, NetSol re-entered the Russell Indexes and was added to six benchmarks, including the Russell 3000E and Russell Microcap. Shareholders re-elected Ian Smith and appointed Richard Howard and Aamir Ibrahim to the board, moves aimed at reinforcing governance and market visibility.

## Flat Net Income Reflects Other Income and NCI Impact

Despite operational strength, full-year net income attributable to NetSol stayed flat at $2.95 million, or $0.25 per diluted share. Management cited a $2.27 million drop in total other income, including foreign exchange swings and lower interest income, plus about $1 million more in noncontrolling interest allocations.

## Noncontrolling Interests Dilute Shareholder Earnings

While consolidated net income rose 22.4% to $5.6 million, income attributable to noncontrolling interests climbed to $2.65 million. Executives acknowledged that this growing share of earnings going to minority holders dampens how much of consolidated performance flows through to NetSol’s shareholders.

## Margin Guidance More Cautious Than Exit Run-Rate

The company guided to fiscal 2027 gross margin of about 50% or better, below the 52.6% full-year 2026 level and well under the 63.6% margin in Q4. The CFO framed 50% as “stable” staple guidance that will be monitored and possibly raised, signaling some conservatism despite strong recent trends.

## Expect Ongoing Quarter-to-Quarter Volatility

Management warned that quarterly results can swing due to timing of deals, implementation milestones, capitalization of development, foreign exchange, and advanced billings. The working-capital lift from contract liabilities, which contributed roughly $6.5 million to operating cash flow, is unlikely to repeat at the same intensity.

## Pakistan Structural Options Still Under Review

NetSol continues to evaluate structural options around its minority interest in Pakistan but has not approved any transaction. The company stressed that potential outcomes are subject to valuation, funding, regulatory, tax, and minority-shareholder considerations, with no assurance of near-term resolution.

## Legacy LeasePak Base Offers Upgrade Upside

The legacy LeasePak installed base still comprises about seven U.S. customers, representing an ongoing upgrade pipeline. Management views the BMO migration as a template for converting maintenance-heavy relationships into modern Transcend subscriptions with richer recurring economics.

## Filings Timing Raised but Quickly Addressed

During the call, an analyst noted that full financials and the annual filing had not yet been posted. The CFO responded that both the press release and the annual report were expected later that day, easing concerns about disclosure timing.

## Forward-Looking Outlook and Strategic Priorities

NetSol guided fiscal 2027 net revenue growth of 13% to 16% and adjusted EBITDA growth of 15% to 25%, implying $10.5 million to $11.4 million. The plan assumes continued subscription growth, timely delivery on contracted implementations, strict cost controls, and focuses on scaling Transcend Retail, embedding AI, and upgrading legacy customers.

NetSol’s earnings call blended robust operational gains with measured caution on margins, quarterly variability, and structural issues. For investors, the takeaway is a software business shifting decisively toward recurring revenue and AI-driven efficiency, backed by marquee Transcend wins and double-digit growth guidance that still leaves room for upside.
