For context, Rocket Lab agreed in June to acquire Iridium in a cash-and-stock deal that valued the satellite operator at about $8 billion, or $54 per share.

Rocket Lab Clears Key Financing Steps

On Sept. 15, Iridium amended its $1.775 billion term loan agreement to allow Rocket Lab's planned acquisition to move forward. After the deal closes, Rocket Lab USA will provide an unsecured guarantee for Iridium's term loan. The company also terminated its $3.6 billion commitment for a senior secured bridge facility that it entered into on June 28, 2026, as part of the merger agreement.

Rocket Lab plans to use the net proceeds from its ATM share sale to fund the cash portion of its Iridium acquisition. If the deal does not close or the company has money left over, it will use the funds for future growth and general business needs.

The Iridium deal is expected to close in mid-2027.

Rocket Lab Eyes Bigger Space Ambitions after Iridium Deal

Speaking to World Space Business Week, Rocket Lab CFO Adam Spice said Iridium could help transform the company from a launch provider into a more complete space business. He said the deal would expand the company beyond rocket launches and spacecraft manufacturing into satellite network operations and services.

Spice further said, "When you double your company overnight, which will be the case when we combine the companies, you'll naturally have some dilution in that growth." Rocket Lab has grown by nearly 100% a year in recent years, while the more mature Iridium has grown at a single-digit rate. This means the acquisition could slow Rocket Lab's overall growth rate in the near term.

Still, Rocket Lab sees new growth opportunities in Iridium's business. Spice said better access to capital and a stronger focus on growth could help the combined company expand faster. "We've got a lot of aggressive plans" to bring growth closer to what investors expect, he added.
