# JAHB plans to acquire a portion of the equity of Lianyungang JAHB, increasing its shareholding ratio to 39.1%

According to the announcement from JAHB (603822.SH), based on the company's strategic and business development needs, the company will hold the 16th meeting of the sixth board of directors and the 9th meeting of the sixth supervisory board on February 17, 2025, to review and approve the proposal on acquiring part of the equity of minority shareholders of the holding subsidiary and related transactions. The company agrees to sign the Equity Transfer Agreement with 18 related parties and agrees to acquire all the shares held by the 18 related parties in Lianyungang JAHB New Energy Co., Ltd. (referred to as "Lianyungang JAHB"), with other shareholders waiving their preemptive rights. After the completion of this transaction, the company's equity stake in Lianyungang JAHB will increase from 30.6% to 39.1%, and Lianyungang JAHB will still be a holding subsidiary of the company. Since the equity of the 18 related parties has not yet been paid in, the transaction parties have agreed that the equity transfer price is 0 yuan
