# Tongyu Heavy: Planning a change in control, stock and convertible bonds suspended for no more than 2 trading days

Tongyu Heavy announced that on April 29, 2025, it received a written notice from its controlling shareholder Zhuhai Port Group, which is planning to transfer part of its equity in the company through an agreement, potentially leading to a change in the company's controlling shareholder and actual controller. The counterparty mainly engages in investment business with its own funds, and the matter still requires prior approval from the Zhuhai State-owned Assets Supervision and Administration Commission and other competent authorities. Currently, the equity transfer agreement has not been signed. To ensure fair information disclosure, protect investors' interests, and avoid causing abnormal fluctuations in the company's stock price, the company's stock and convertible bonds will be suspended from trading starting April 30, 2025, with the suspension expected to last no more than 2 trading days
