Shen Nan Dian A: Director Wu Guowen resigned due to reaching the statutory retirement age

Shen Nan Dian A announced that Mr. Wu Guowen, the company's director and executive vice president, submitted his written resignation report on June 11, 2025, due to reaching the statutory retirement age, resigning from his positions as director, executive vice president, and member of the Strategic and Investment Management Committee. Mr. Wu Guowen's resignation will take effect from the date it is delivered to the company's board of directors. After his resignation, he will not hold any position in the company but will continue to serve as a director of the holding subsidiaries Shen Nan Energy Co., Ltd. and Hong Kong Xing Desheng Co., Ltd. Mr. Wu Guowen's resignation did not result in the number of board members falling below the statutory minimum and will not affect the normal conduct of the company's related work.
