# ST SuWu Holdings' subsidiary DaTou Medical received a termination letter from IMEIK's subsidiary Regen

According to the announcement from \*ST Jiangsu Wuzhong (600200.SH), IMEIK's subsidiary Regen delivered a "Termination Letter" to its controlling subsidiary Datou Medical on the evening of July 18, requesting the cancellation of all relevant authorizations for Datou Medical as the exclusive distributor of the AestheFill product in mainland China; Datou Medical is prohibited from conducting any business activities as the exclusive distributor of AestheFill; and Regen will no longer accept any orders sent by Datou Medical.

The reason for termination is that Regen believes Datou Medical has effectively transferred the exclusive distribution business to its controlling shareholder Wu Zhong Meixue, violating the agreement; and that the sole shareholder of Wu Zhong Meixue, namely the company and its chairman, along with several executives, have seriously violated securities laws and have been subjected to corresponding administrative penalties, with multiple violations, investigations, and penalties disclosed in the company's announcements in the first half of the year; these circumstances severely affect the reputation of the AestheFill product in mainland China.

If the "Exclusive Agency Agreement" is ultimately terminated, Datou Medical will lose the exclusive agency rights for AestheFill within China and will be unable to continue selling AestheFill, which is expected to significantly reduce the company's medical beauty segment's revenue and profits in the second half of the year.

The company has initiated a response plan on the same day it received the termination letter; it is communicating with Regen and will take legal measures if necessary to protect all of the company's legal and legitimate rights and interests. The company believes that: (1) Datou Medical has not engaged in any transfer of exclusive agency rights; (2) the "Exclusive Agency Agreement" has never stipulated that administrative penalties against Datou Medical's related parties could trigger the right to terminate
