According to the announcement from Zhitong Finance APP, Sailing (300588.SZ) has released a notice stating that recently, the company's controlling shareholder and actual controller He Kaiwen and Yue Yamei signed a "Share Transfer Agreement" (hereinafter referred to as the "Transfer Agreement") with Shanghai Shengxun Dongyue Information Technology Partnership (Limited Partnership) (hereinafter referred to as "Shanghai Shengxun") and Shanghai Jinzhongyi Enterprise Management Partnership (Limited Partnership) (hereinafter referred to as "Shanghai Jinzhongyi"). Among them: (1) He Kaiwen intends to transfer 36.38 million unrestricted circulating shares (accounting for 19.00% of the company's total share capital) held by him to Shanghai Shengxun through the agreement; (2) He Kaiwen and Yue Yamei intend to transfer a total of 11.599 million unrestricted circulating shares (accounting for 6.06% of the company's total share capital) held by them to Shanghai Jinzhongyi through the agreement.

If this transaction proceeds smoothly and is completed, the company's controlling shareholder and actual controller will change, with the controlling shareholder changing to Shanghai Shengxun and the actual controller changing to Sheng Ning.

Upon application to the Shenzhen Stock Exchange, the company's stock will resume trading starting from July 28, 2025 (Monday)
