# XTEMD: Plans to jointly invest with related parties to establish a joint venture company

XTEMD announced that the company will hold the eighth meeting of the ninth board of directors on August 27, 2025, to review and approve the proposal on jointly investing with related parties to establish a joint venture company. The company, along with related party Xiangtan Electric Chemical Industry Investment Holding Group Co., Ltd., Hunan Yuneng New Energy Battery Materials Co., Ltd., and non-related party Zhejiang Yuancheng New Energy Commercial Vehicle Group Co., Ltd., will jointly invest to establish Hunan Province New Energy Materials Research Institute Co., Ltd. The registered capital of the joint venture company is RMB 40 million, of which the company will contribute RMB 10 million in cash, accounting for 25% of the registered capital; the other three parties will each contribute RMB 10 million in cash, also accounting for 25% of the registered capital. This related transaction does not constitute a major asset reorganization as defined by the "Administrative Measures for Major Asset Restructuring of Listed Companies."
