The two parties have signed a multi-asset licensing and option agreement for several cardiovascular assets, with a total transaction amount of up to $5.2 billion. Under the cooperation terms announced on Wednesday, Novartis will receive two licensing options: for two candidate molecules in the drug discovery phase, aimed at treating severe hypertriglyceridemia (sHTG) and mixed dyslipidemia, Novartis can choose to acquire the development and commercialization rights for these molecules in markets outside of China. Additionally, after Asieris completes a joint clinical trial of the candidate drug BW-00112 (a Phase II asset targeting angiopoietin-like protein 3 (ANGPTL3) for the treatment of dyslipidemia), Novartis will have the right of first negotiation for this drug. The scope of this licensing cooperation also includes another candidate molecule from Asieris that is currently in the early research stage and based on RNA technology. The agreement terms indicate that Asieris will receive a $160 million upfront payment from Novartis; in addition, if subsequent research, registration, and commercialization milestones are achieved as agreed, Asieris could receive milestone payments and option exercise payments totaling up to $5.2 billion.
