This establishment of a wholly-owned subsidiary has been approved by the company's president meeting and does not require submission for board review. The establishment of this wholly-owned subsidiary does not involve related party transactions and does not constitute a major asset reorganization as defined by the "Administrative Measures for Major Asset Restructuring of Listed Companies."
