ZHENDE MEDICAL's controlling shareholder and concerted parties plan to transfer 5% of the company's shares through an agreement
ZHENDE MEDICAL's controlling shareholder Zhejiang ZHENDE and its wholly-owned subsidiary Xuchang Garden intend to transfer 5% of the company's shares, totaling 13.3226 million shares, at a transfer price of 26.74 yuan per share, with a total price of 356 million yuan. After the transfer, the shareholding ratio of the controlling shareholder and its concerted parties will decrease to 54.20%. The transferee Sun Jimu has committed not to reduce the acquired shares within 12 months
According to the Zhitong Finance APP, ZHENDE MEDICAL (603301.SH) announced that its controlling shareholder Zhejiang ZHENDE Holdings Co., Ltd. (referred to as "Zhejiang ZHENDE") and its wholly-owned subsidiary Xuchang ZHENDE Landscaping Engineering Co., Ltd. (referred to as "Xuchang Landscaping") signed the "Share Transfer Agreement of ZHENDE Medical Supplies Co., Ltd." on September 10, 2025, with Sun Jimu (referred to as "the transferee") and the Shaoxing Branch of Industrial and Commercial Bank of China Limited (referred to as "ICBC Shaoxing Branch" and "the pledgee"). Zhejiang ZHENDE and Xuchang Landscaping intend to transfer a total of 13.3226 million unrestricted circulating shares (accounting for 5% of the company's total share capital) they hold to Sun Jimu at a price of RMB 26.74 per share through a negotiated transfer (of which Zhejiang ZHENDE intends to transfer 1.5486 million shares, accounting for 0.58% of the company's total share capital; Xuchang Landscaping intends to transfer 11.7739 million shares, accounting for 4.42% of the company's total share capital), with a total transfer price of RMB 356 million.
Before this equity change, the company's controlling shareholder Zhejiang ZHENDE and its concerted actors (Lu Jianguo, Shen Zhenfang, and Xuchang Landscaping) held a total of 158 million shares of the company, accounting for 59.20% of the company's total share capital. After this equity change, the company's controlling shareholder Zhejiang ZHENDE and its concerted actors (Lu Jianguo, Shen Zhenfang, and Xuchang Landscaping) will hold a total of 144 million shares of the company, accounting for 54.20% of the company's total share capital; Sun Jimu will hold 13.3226 million shares of the company, accounting for 5% of the company's total share capital. The transferee promises not to reduce the shares acquired through this agreement within 12 months from the completion date of this agreement
