AAA PUBLIC plans to acquire 90% equity in Qitai Hengtuo to expand its wind power generation business

According to the announcement from Guang'an Aizhong (600979.SH), the company plans to acquire 90% of the equity of Qitai County Hengtuo New Energy Power Co., Ltd. (referred to as "Qitai Hengtuo") at a price of 0 yuan. After the equity acquisition is completed, Qitai Hengtuo's wholly-owned subsidiary Qitai County Henzhong New Energy Power Co., Ltd. (referred to as "Qitai Henzhong") will continue to invest, construct, and operate a 400MW flexible transformation supporting wind power project for the Henglian Qitai coal power plant. At the same time, the company, along with another shareholder, Ruineng Electric Power Co., Ltd. (referred to as "Ruineng Electric Power"), will jointly increase the capital of Qitai Hengtuo by 445 million yuan in cash according to their shareholding ratio, and will undertake the paid-in obligation of the original registered capital of 5 million yuan according to their shareholding ratio. After the capital increase, Qitai Hengtuo's registered capital will change to 450 million yuan. Additionally, Qitai Hengtuo will increase the capital of Qitai Henzhong by 445 million yuan in cash, and after the capital increase, Qitai Henzhong's registered capital will change to 450 million yuan. After the completion of this equity acquisition, Qitai Hengtuo will become a controlling subsidiary of the company and will be included in the company's consolidated financial statements.
