TIANJIN PENGLING announced that shareholder Wang Zhifang's shareholding ratio was passively diluted due to the company's 2024 equity incentive plan's first grant portion vesting results and the listing of shares, resulting in an increase in the total share capital. Before the change, Wang Zhifang held 303 million shares, accounting for 40.1352% of the total share capital; after the change, the number of shares held remained unchanged, but the total share capital increased to 760 million shares, reducing the shareholding ratio to 39.9049%. This equity change does not involve a reduction in the number of shares held and will not lead to a change in the controlling shareholder and actual controller of the listed company. Wang Zhifang remains the actual controller of the listed company. Wang Zhifang has no plans to increase or decrease his holdings in the next 12 months
