OPG plans to invest CNY 244 million to participate in the Advanced Computing Phase II Fund, becoming a limited partner. The company's board of directors has authorized investments within a limit of CNY 500 million, with a single fund investment not exceeding 50%. This investment will be made through equity investment to acquire shares in Super Fusion Digital Technology Co., Ltd., and is expected to enhance the company's investment returns and asset operation capabilities
According to the announcement from OPG (600637.SH), the company's Board of Directors' Strategic and Investment Committee has agreed and authorized the company to participate in the investment of a special fund within a total quota of RMB 500 million, with the investment proportion in the fund not exceeding 50%, and to act as a limited partner. If the fund manager establishes two phases of the fund, the company's investment proportion in each special fund will not exceed 50%, and the total investment amount will not exceed RMB 500 million. The specific investment amount for each phase of the fund will be reported by the project team to the company's management for approval based on actual conditions before implementation, and the project team will be responsible for completing subsequent tasks such as signing agreements, establishing fund contributions, and filing. The special fund intends to achieve investment returns through equity investment by acquiring equity in Super Fusion Digital Technology Co., Ltd. (referred to as "Super Fusion"), realizing investment gains through the appreciation of Super Fusion's equity.
The company's current investment amount combined with the previous investment totals RMB 499 million, which is within the authorized quota of the company's Board of Directors' Strategic and Investment Committee. After negotiation among partners, the fundraising scale of the second phase fund ("Advanced Computing Phase II Fund") is RMB 714 million, and the company intends to contribute RMB 244 million of its own funds, accounting for approximately 34.164% of the fundraising scale of the Advanced Computing Phase II Fund, and will act as a limited partner. This investment will further integrate and utilize the advantages of various resources, optimize the company's investment structure through a professional investment management team, and enhance the company's investment return level and asset operation capability
